Systemair (NASDAQ OMX Stockholm: SYSR) held its Annual General Meeting on August 29, 2012 in the Systemair Expo in Skinnskatteberg, Sweden. The Meeting voted unanimously in favour of the Board's proposal in all suggestions.

The most important decisions main content were:

Dividend
The Board's proposal of a dividend of SEK 1.25 per share was approved by the Meeting. The record date for dividend was determined Monday, September 3. The dividend will be paid through Euroclear Sweden AB on Thursday, 6 September 2012.

The Board
The meeting followed the Nomination Committee's proposal and re-elected Board Elisabeth Westberg, Lars Hansson, Göran Robertsson, Jürgen Zilling, Hannu Paitula and Gerald Engström.

Proposed fees for the board and audit committee
The meeting resolved that the directors' remuneration per director and the chairman is kept unchanged. SEK 400,000 to the Chairman and SEK 200,000 to each of the other members not employed by the company. All in all, are paid with SEK 1,200,000. The remuneration of the Audit Committee was established to be unchanged and be a total of SEK 100,000, SEK 50,000 the chairman and SEK 25,000 for each of the other members.
